2. Client Responsibilities
Clients are responsible for providing accurate information, timely feedback, access to relevant platforms, content, assets, approvals, and any necessary credentials required for project completion. Delays caused by incomplete client input may affect timelines and fees.
3. Fees, Deposits, and Payment
Fees for services are outlined in our proposals or agreements. Deposits or upfront payments may be required before work begins. Any unpaid balances are due according to the agreed schedule. MJK Solutions reserves the right to suspend work on overdue accounts.
4. Project Timelines
Estimated project timelines are based on the information available at the start of the engagement. Actual delivery dates may vary depending on client responsiveness, asset availability, revisions, and external dependencies such as platform approvals or third-party integrations.
5. Revisions and Approvals
Clients are entitled to a defined number of revision rounds within the project scope unless otherwise agreed in writing. Additional revision requests beyond the agreed scope may be billed as additional work.
6. Intellectual Property
Unless otherwise agreed in writing, MJK Solutions retains ownership of its templates, methodologies, proprietary tools, and pre-existing materials. Custom work created specifically for a client may be assigned or licensed to the client upon full payment, as specified in the project agreement.
7. Confidentiality
Both parties agree to keep confidential information exchanged during the engagement strictly private and not to disclose it to third parties without prior written consent, except as required by law.
8. Warranties and Limitation of Liability
MJK Solutions performs services in a professional manner consistent with industry standards. However, we do not guarantee specific sales growth, ranking results, lead volume, or other outcomes because performance can depend on many external factors outside our direct control. MJK Solutions shall not be liable for indirect, incidental, consequential, or punitive damages arising from this engagement.
9. Termination
Either party may terminate the engagement for cause if the other party materially breaches these terms and does not cure the breach within a reasonable time after written notice. Upon termination, fees for work already performed remain due and payable.
10. Website and Content
Clients are responsible for ensuring that any content, images, text, logos, trademarks, or other materials they provide are legally authorized for use. MJK Solutions is not responsible for any legal claims arising from unauthorized third-party content provided by the client.
11. Marketing and Advertising
Digital advertising results are influenced by competition, budget, market conditions, and platform algorithms. While MJK Solutions will optimize campaigns using professional judgment and best practices, results can vary and are not guaranteed.
12. Governing Law
These Terms are governed by the laws of the state in which MJK Solutions operates, without regard to conflict of law principles.
